Terms and Conditions for American Accounting Association Learning Management System Content Submission

By submitting content to the American Accounting Association ("AAA"), you ("Contributor") agree to the following Terms and Conditions ("Agreement"). Please read these terms carefully before submitting content, as they establish your rights and obligations in relation to the submitted materials.

1. Ownership and Rights to Submit Content

1.1 Ownership: You affirm that you are the sole owner of the content submitted ("Content") or have secured all necessary rights, licenses, permissions, and consents from the rightful owners to submit the Content to AAA.

1.2 Authorization to Share: By submitting Content, you affirm that you have the legal right to share the Content with AAA and grant the rights outlined in this Agreement.

1.3 Accuracy of Representations: You warrant that the Content does not infringe upon the intellectual property, privacy, or other rights of any third party and does not violate any applicable law or regulation.

2. Grant of License to AAA

2.1 Hosting and Sharing: By submitting Content, you grant AAA a non-exclusive, worldwide, royalty-free license to host, reproduce, distribute, display, and make the Content available to AAA members solely as a member benefit through AAA's membership portal or other restricted-access platforms.

2.2 Duration of Hosting: The license granted herein continues unless you notify AAA to withdraw the Content in accordance with Section 4.

3. Content Usage and Restrictions

3.1 Members-Only Access: AAA agrees to host the Content exclusively as a members-only benefit, ensuring that the Content is not made publicly accessible without prior written consent from you.

3.2 Prohibited Use: AAA will not modify or repurpose the Content for commercial purposes or share it beyond its intended use as a member resource without your express written permission.

4. Notification of External Publication

4.1 Notice Period: If you choose to publish or otherwise publicly distribute the Content, you agree to notify AAA at least thirty (30) days in advance of such publication.

4.2 Content Removal: Upon receiving notice, AAA will remove the Content from its platform within thirty (30) days unless otherwise agreed in writing.

5. Indemnification

5.1 Indemnity Clause: You agree to indemnify and hold harmless AAA, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorney’s fees) arising out of or related to any breach of your representations, warranties, or obligations under this Agreement.

6. Disclaimer and Limitation of Liability

6.1 Disclaimer: AAA does not guarantee the accuracy, reliability, or completeness of the Content hosted on its platform and is not responsible for any errors, omissions, or reliance on the Content by third parties.

6.2 Limitation of Liability: To the fullest extent permitted by law, AAA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the hosting or use of the Content.

7. General Provisions

7.1 Termination: AAA reserves the right to remove any Content at its sole discretion without prior notice if the Content is found to violate these terms or applicable laws.

7.2 Entire Agreement: This Agreement constitutes the entire agreement between you and AAA regarding Content submission and supersedes all prior agreements or understandings, whether written or oral.

7.3 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

7.4 Modification of Terms: AAA reserves the right to amend these terms from time to time. Contributors will be notified of significant changes and may choose to withdraw their Content if they do not agree to the revised terms.

7.5 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
